What is being licensed?

Make sure you get all elements (e.g. trade marks, slogans, designs, available endorsements etc.) that you need.

If possible bring examples/mock ups along with you to the initial meeting.

Ensure that the definition of “Licensed Materials” is as detailed as possible,

“Licensed Materials” means those trade marks and trade names both registered and unregistered detailed in Schedule 1, the images set out in Schedule 2, (and any future images of any products manufactured and/or supplied by the Licensor that are used for promotional purposes by the Licensor) together with such Endorsement Property as the Licensor is from time to time permitted to grant sub-licenses in respect of (the Licensor being bound to use its reasonable endeavours to obtain such a right).

“Endorsement Property” means the name, image, likeness, signature, nickname, biography and caricature of any person who is used by the Licensor to endorse the Licensor and/or any products supplied by the Licensor.
